Terms of Service
These terms govern your use of BearScope, our customer-experience operations platform, built on Fibric. They explain what you can expect from us and what we expect from you. Please read them.
1. Acceptance of these terms
These Terms of Service ("Terms") are an agreement between you and Fibric ("Fibric," "we," "us") and govern your access to and use of BearScope, our websites, and related services (together, the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms. If you are agreeing on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree, do not use the Service. A separate signed agreement, if any, between you and Fibric takes precedence over these Terms where they conflict.
2. The Service
BearScope is an AI-native customer-experience operations platform where your people and their AI agents run customer support together on one system. Conversations are resolved, scored, and coached; an analyst surfaces what needs attention. Every AI-proposed action is checked against your policy before it runs, runs once even if retried, and leaves a receipt you can audit. We may add, change, or remove features over time. We aim to give reasonable notice of material changes that reduce core functionality.
3. Accounts and tenants
To use the Service you must create an account and a tenant (your isolated workspace). You agree to provide accurate information, keep your credentials secure, and be responsible for all activity under your account. You are responsible for your users, including their compliance with these Terms. Notify us promptly of any unauthorized use. You must be at least the age of majority in your jurisdiction and not barred from receiving the Service under applicable law.
4. Acceptable use
You agree not to, and not to allow anyone to:
- use the Service for any unlawful, harmful, deceptive, or infringing purpose;
- upload data you do not have the right to use, or that violates the privacy or rights of others;
- attempt to access another tenant's data, defeat tenant isolation, or probe, scan, or breach security;
- reverse engineer, copy, or create derivative works of the Service except as the law expressly permits;
- interfere with or disrupt the integrity or performance of the Service, or introduce malware;
- resell, sublicense, or provide the Service to third parties except as expressly permitted in writing;
- use the Service to build a competing product, or to send unlawful, abusive, or unsolicited messages.
We may suspend access to address a serious or ongoing violation, a security risk, or a legal requirement, and will try to give notice where practical.
5. Your data and content
As between you and us, you own all data and content you connect to or generate in the Service ("Customer Data"), including your support conversations, customer records, and the configurations you create. You grant us a limited license to host, process, transmit, and display Customer Data solely to provide and support the Service for you. We process Customer Data as your processor and in accordance with our Privacy Policy and any data processing agreement. We do not sell your data and do not use Customer Data to train AI models for other customers. You are responsible for the accuracy and legality of Customer Data and for having the rights and consents needed to provide it to us.
6. AI outputs and human-in-the-loop
The Service uses AI agents and a base model to read conversations, reason about them, and propose and take actions. AI can be wrong. It may produce inaccurate, incomplete, or unexpected results. BearScope is built to reduce that risk: actions are checked against your policy before they run, and sensitive actions wait for a person on your team. Even so, you are responsible for the configuration, policies, and approvals you set, and for the actions taken in your tenant. You should keep appropriate human review in place for consequential decisions. AI outputs are not professional, legal, financial, or medical advice. You are responsible for how you use them.
7. Fees, billing, and trials
Paid plans are sold on a subscription basis. Fees, billing periods, and what each plan includes are described on our pricing page or in your order. Subscriptions are billed through our third-party billing provider; by subscribing you authorize recurring charges for the plan you select until you cancel. Unless stated otherwise, fees are non-refundable, exclude taxes (which you are responsible for), and renew automatically for the same period until canceled. We may change pricing for future billing periods with reasonable notice. If we offer a free trial, we may change or end trials at any time, and your plan converts to paid at the end of the trial unless you cancel beforehand. You can cancel at any time, effective at the end of your current billing period.
8. Warranties and disclaimers
We will provide the Service with reasonable skill and care. Except as expressly stated in these Terms or a signed agreement:
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI OUTPUTS WILL BE ACCURATE OR COMPLETE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. EXCEPT FOR YOUR PAYMENT OBLIGATIONS, EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
10. Indemnification
You agree to defend and indemnify us against third-party claims arising from your Customer Data, your use of the Service in violation of these Terms or applicable law, or your infringement of a third party's rights, except to the extent the claim arises from our breach of these Terms.
11. Termination
You may stop using the Service and cancel your subscription at any time, effective at the end of your current billing period. We may suspend or terminate your access if you materially breach these Terms and do not cure it within a reasonable period after notice, if required by law, or if continuing to provide the Service poses a security or legal risk. On termination, your right to use the Service ends. We will make Customer Data available for export, or delete or return it, in accordance with our Privacy Policy and any data processing agreement. Sections that by their nature should survive termination, such as data ownership, disclaimers, liability limits, and governing law, survive.
12. Changes to these Terms
We may update these Terms as the product and the law change. When we make material changes, we will update the date above and, where appropriate, notify account administrators. Your continued use of the Service after an update means you accept the revised Terms. If you do not agree, stop using the Service.
13. Governing law
These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules, and the parties submit to the exclusive jurisdiction of the state and federal courts located there, except where applicable law gives you the right to bring a claim elsewhere. If any provision of these Terms is held unenforceable, the rest remain in effect.
